Terms of Service
The agreement that governs your use of AlphaWeg. In plain terms: AlphaWeg is decision-support software you drive, it never holds your money, and every order is initiated and approved by you.
These Terms of Service ("Terms") form a binding agreement between you ("you," "User") and Amit Wegner, an individual sole proprietor (Osek Murshe) registered in Israel ("AlphaWeg," "AlphaWeg," "we," "us," or "our"), the provider of the AlphaWeg software. By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
1.1 In these Terms, capitalized terms have the meanings set out below.
- "Service" means the AlphaWeg software application, website, and related decision-support tools, features, and content made available by AlphaWeg.
- "User Content" means any data, settings, preferences, or inputs you provide to the Service.
- "Brokerage Account" means a securities or trading account you hold with an independent third-party broker.
- "Connected Broker" means a third-party broker whose account you elect to connect to the Service through a delegated authorization mechanism.
- "Order" means any instruction to buy, sell, or otherwise transact in a financial instrument.
- "Decision-Support Output" means any analysis, alert, analysis, score, ranking, suggestion, chart, or other informational output generated or displayed by the Service.
- "Account" means your registered user account for the Service.
1.2 Headings are for convenience only and do not affect interpretation. "Including" and "such as" are illustrative and not exhaustive.
2. Description of the Service
2.1 Software and decision-support only. AlphaWeg is a software and technology product that provides informational, analytical, and decision-support tools. The Service is intended solely to help you organize information and reach your own independent decisions.
2.2 What AlphaWeg is not. AlphaWeg is not a broker, broker-dealer, dealer, exchange, investment adviser, portfolio manager, investment marketer, investment house, financial planner, or fiduciary of any kind. AlphaWeg does not provide investment advice, investment marketing, or portfolio management services as those terms are defined under Israeli law or any other applicable law. Nothing in the Service constitutes a personal recommendation, solicitation, or offer to buy or sell any financial instrument.
2.3 No discretionary trading. AlphaWeg has no discretion or authority over your Brokerage Account, your funds, or your Orders. The Service does not and cannot place, execute, modify, or cancel Orders on its own initiative or without your specific instruction.
2.4 You initiate and approve every Order. Every Order is initiated, reviewed, and approved by you. Any feature that transmits an Order to a Connected Broker does so only after your explicit review and confirmation of that specific Order. Decision-Support Output is informational only; whether and how to act on it is entirely your decision.
2.5 No guarantee of results. AlphaWeg does not guarantee any investment outcome, profit, return, accuracy, completeness, timeliness, or availability. Markets involve substantial risk, including the risk of total loss. Past performance and any hypothetical, simulated, or backtested results are not indicative of future results.
3. Eligibility
3.1 To use the Service you must (a) be at least 18 years old and of legal age to form a binding contract in your jurisdiction; (b) have the legal capacity and authority to accept these Terms; and (c) not be barred from using the Service under any applicable law or sanctions regime.
3.2 The Service is not directed to, and may not be used by, any person in a jurisdiction where use of the Service would be unlawful or would subject AlphaWeg to any registration, licensing, or authorization requirement it does not hold. You are responsible for compliance with the laws applicable to you.
3.3 You represent that all information you provide during registration is accurate and that you will keep it current.
4. Connecting Your Brokerage Account
4.1 Delegated, revocable authorization. You may choose to connect a Brokerage Account to the Service using a delegated authorization mechanism (for example, OAuth or a broker-provided token). This authorization is granted by you, is limited to the scopes you approve, and is revocable by you at any time through the Service, through your Connected Broker, or both.
4.2 AlphaWeg never custodies funds. AlphaWeg does not hold, custody, receive, move, withdraw, or take title to your funds or securities at any time. AlphaWeg cannot transfer money or assets into or out of your Brokerage Account. Your funds and securities remain at all times with your Connected Broker under your control.
4.3 Scope of access. AlphaWeg accesses only the data and permissions necessary to provide the Service and only within the scopes you authorize. AlphaWeg does not receive or store your broker login password. See the Privacy Policy for details on token handling.
4.4 Your relationship with your broker. Your Brokerage Account is governed solely by your agreement with your Connected Broker. AlphaWeg is not a party to that agreement and has no responsibility for your broker's acts, omissions, execution quality, fees, margin decisions, or availability.
4.5 Effect of revocation. If you revoke authorization or disconnect a Brokerage Account, features that depend on that connection will stop functioning. Revocation does not affect Orders already transmitted to or executed by your Connected Broker.
5. No Investment Advice; No Fiduciary Relationship
5.1 The Service and all Decision-Support Output are provided for informational and educational purposes only and do not constitute investment advice, investment marketing, financial advice, tax advice, legal advice, accounting advice, or any personal recommendation.
5.2 AlphaWeg does not consider your individual financial situation, objectives, risk tolerance, or needs. No Decision-Support Output is tailored to you as a personal recommendation.
5.3 No fiduciary duty. Your use of the Service does not create any advisory, fiduciary, agency, trust, or confidential relationship between you and AlphaWeg. AlphaWeg owes you no fiduciary or advisory duty of any kind.
5.4 You should obtain independent professional advice from a licensed adviser, and conduct your own due diligence, before making any investment decision. You act on your own judgment and at your own risk.
6. User Responsibilities and Sole Responsibility for Orders
6.1 Sole responsibility for every approved Order. You are solely and exclusively responsible for every Order you initiate, approve, or transmit, and for all resulting trades, positions, gains, and losses. You acknowledge that you review each Order before approving it and that you are responsible for its terms, timing, size, and suitability for you.
6.2 Account security. You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account. Notify AlphaWeg promptly of any unauthorized use.
6.3 Accuracy and monitoring. You are responsible for verifying all information and Decision-Support Output against independent sources before acting, and for monitoring your own Brokerage Account, positions, and Orders. Data may be delayed, incomplete, or inaccurate.
6.4 Compliance. You are responsible for complying with all laws, regulations, tax obligations, and the rules of your Connected Broker and any relevant market or exchange that apply to your trading activity.
6.5 Suitability. You represent that you understand the risks of trading, that trading is suitable for you, and that you can bear the risk of loss, including total loss.
7. Acceptable Use
7.1 You agree not to:
- (a) use the Service for any unlawful purpose or in violation of any applicable law, regulation, or third-party right;
- (b) engage in, or use the Service to facilitate, market manipulation, insider trading, fraud, or any abusive or prohibited trading practice;
- (c) reverse engineer, decompile, disassemble, scrape, or attempt to derive source code or underlying models, except to the extent this restriction is prohibited by applicable law;
- (d) copy, resell, sublicense, distribute, or commercially exploit the Service or Decision-Support Output without AlphaWeg's prior written consent;
- (e) interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, its systems, or other users' accounts;
- (f) introduce malware or malicious code, or circumvent any security or access control;
- (g) use the Service to provide investment advice or a regulated financial service to third parties, or misrepresent Decision-Support Output as AlphaWeg's advice or endorsement; or
- (h) use automated means to access the Service except as expressly permitted by AlphaWeg.
7.2 AlphaWeg may investigate suspected violations and may suspend or terminate access for any violation, without liability.
8. Fees
8.1 [FEES — PLACEHOLDER / TBD.] Fees, subscription plans, billing cycles, taxes, refunds, trial terms, and payment processing are to be determined and will be set out in a separate schedule or at the point of purchase before any charge is incurred. This entire clause is a placeholder and must be completed and reviewed by counsel before any fees are charged.
8.2 Nothing in these Terms obligates you to pay any amount until you have expressly agreed to a specific fee schedule presented to you.
9. Intellectual Property
9.1 The Service, including all software, code, models, algorithms, text, graphics, user interfaces, trademarks, logos, and Decision-Support Output (excluding your User Content), is owned by AlphaWeg or its licensors and is protected by intellectual property laws.
9.2 License to you. Subject to these Terms, AlphaWeg grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal, non-commercial use.
9.3 Your content. You retain ownership of your User Content. You grant AlphaWeg a non-exclusive, worldwide, royalty-free license to host, process, and use your User Content solely to operate, provide, secure, and improve the Service, consistent with the Privacy Policy.
9.4 Feedback. If you provide feedback or suggestions, AlphaWeg may use them without restriction or obligation to you.
9.5 All rights not expressly granted are reserved.
10. Third-Party Services and Broker Independence
10.1 The Service may interoperate with or rely on third-party services, including brokers, market-data providers, authentication providers, and cloud infrastructure. Such third parties are independent of AlphaWeg.
10.2 Broker independence. Interactive Brokers ("IBKR") and any other broker you connect are independent third parties. AlphaWeg is not affiliated with, sponsored by, endorsed by, or acting on behalf of IBKR or any broker, and AlphaWeg does not endorse, recommend, or vouch for any broker. Any reference to a broker is for interoperability and identification only.
10.3 Your use of any third-party service is governed by that third party's own terms and privacy policy. AlphaWeg is not responsible or liable for third-party services, their availability, accuracy, security, acts, or omissions.
10.4 AlphaWeg may add, change, or discontinue third-party integrations at any time.
11. Disclaimers of Warranties
11.1 To the maximum extent permitted by applicable law, the Service and all Decision-Support Output are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted or error-free operation.
11.2 AlphaWeg does not warrant that the Service, any data, or any Decision-Support Output is accurate, complete, current, reliable, timely, or suitable for your purposes, or that defects will be corrected.
11.3 AlphaWeg does not warrant any financial, trading, or investment result. All trading and investment decisions are made at your own risk.
11.4 Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions apply to the fullest extent permitted by law.
12. Limitation of Liability
12.1 To the maximum extent permitted by applicable law, AlphaWeg, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, trading losses, lost opportunities, lost data, or loss of goodwill, arising out of or relating to the Service or these Terms, whether based in contract, tort (including negligence), strict liability, or any other theory, even if advised of the possibility of such damages.
12.2 Without limiting Section 12.1, AlphaWeg shall not be liable for any losses arising from your Orders, your trading decisions, Decision-Support Output, market conditions, data errors or delays, or the acts or omissions of any Connected Broker or other third party.
12.3 Liability cap. To the maximum extent permitted by applicable law, AlphaWeg's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the greater of [the total fees you paid to AlphaWeg for the Service in the [12] months preceding the event giving rise to the claim] — AMOUNT/PERIOD TBD or [nominal amount — TBD, e.g., ILS [___]].
12.4 Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, AlphaWeg's liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, for fraud or willful misconduct).
13. Indemnification
13.1 To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless AlphaWeg, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your use of the Service; (b) your Orders and trading activity; (c) your violation of these Terms or any applicable law; or (d) your violation of any third-party right, including any Connected Broker's terms.
13.2 AlphaWeg may, at its own expense, assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.
14. Termination and Revocation
14.1 By you. You may stop using the Service, disconnect any Brokerage Account, and close your Account at any time.
14.2 By AlphaWeg. AlphaWeg may suspend or terminate your access, in whole or in part, at any time, with or without cause, and with or without notice where permitted by law, including for any violation of these Terms or to protect the Service or other users.
14.3 Effect. Upon termination, your license to use the Service ends and features dependent on a Connected Broker cease. Termination does not affect Orders already transmitted to or executed by your Connected Broker.
14.4 Survival. Sections that by their nature should survive (including Definitions, No Investment Advice, User Responsibilities, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and this Section) survive termination.
14.5 Data. Handling of your data after termination is governed by the Privacy Policy.
15. Governing Law and Dispute Resolution
15.1 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules.
15.2 Jurisdiction. You agree that the competent courts located in Tel Aviv–Jaffa, Israel shall have exclusive jurisdiction over any dispute, and you submit to their jurisdiction, except where mandatory consumer-protection law provides otherwise.
15.3 [Dispute resolution mechanism — TBD.] Any pre-litigation notice, informal-resolution, arbitration, or mediation mechanism is to be determined by counsel. This subsection is a placeholder.
15.4 Nothing in this Section limits any non-waivable rights you may have under mandatory Israeli consumer-protection law.
16. Changes to the Terms
16.1 AlphaWeg may modify these Terms from time to time. Material changes will be communicated by reasonable means (for example, in-app notice or email) before they take effect where required by law.
16.2 Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

17.2 General. These Terms constitute the entire agreement between you and AlphaWeg regarding the Service and supersede prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in effect. AlphaWeg's failure to enforce any right is not a waiver. You may not assign these Terms without AlphaWeg's consent; AlphaWeg may assign them in connection with a merger, acquisition, or sale of assets.
